    BioCentric Energy Announces Engagement of Independent Auditors as the First Step in Achieving Bulletin Board Listing

    BioCentric Energy Holdings, Inc. (PINKSHEETS: BEHL) is pleased to announce that the Company has engaged a CPA firm who will provide an independent audit of the BEHL 2008 and 2009 year-end financial statements. The CPA firm is registered with the Public Company
    Accounting Oversight Board so the statements will comply with all current Securities and Exchange Commission requirements. The Company anticipates the auditors commencing work approximately May 31st, 2010 at the Company's headquarters in Santa Ana, CA. BioCentric Energy CFO Frank Rawson stated, "BioCentric Energy is working diligently to progress to an OTCBB (Over-The-Counter, Bulletin Board) stock listing and the audit is simply the first necessary step in reaching this status. This will also allow BEHL more flexibility in obtaining financing for future growth."

    Yesterday, a select group from BioCentric Energy (Dennis Fisher, Chairman of the Board, Dr. Brian Goodall, CEO, Pat Kuykendall, Site Supervisor and a contracted electrician), spent the day at its first commercial site in Southern California working with two excavating companies in developing and preparing the land and assessing the available power and water resources in preparation of deployment of the Company's commercial systems.

    Biocentric Energy is in advanced stage discussions with a California-based renewable energy company for the rapid deployment of its 10-acre commercial PBR systems. The anticipated deployment date of these commercial systems is 3rd quarter 2010. Following the successful implementation of the initial 10 acres, the renewable energy company and BioCentric Energy expect to add additional PBR units on the same site and throughout California.

    BioCentric Energy President Provides Important Shareholder Update

    BioCentric Energy Holdings, Inc. (Pink Sheets:BEHL) Company President Monique Berry today stated, "I am pleased to announce the following updates to our valued shareholders and Investors."

    1) The company's first client to purchase the BioCentric commercial "Algae Pro" closed-loop Photobioreactor has funded the second installment to BioCentric. Subsequent installments will be funded in May and June 2010. Due to the very nature of being the first commercial client BioCentric has consented to a Partnership Agreement to provide the solution from innoculant to cashing the check from the buyer of the Omega 3 with EPA. The first southern California commercial site is moving forward as planned and BioCentric Energy has executed the necessary agreements to begin excavation early as next week.

    2) BioCentric's "Skunkworks" Department, operated by Patrick Kuykendall and project managed by Jason Paxton have re-engineered and built their new prototype "Pig Catcher" (a "pig" is the terminology used to describe the instrument to remove oxygen, agitate, and clean the Photobioreactor) to better meet the needs of the Algae Pro Photobioreactor. When reactivating the bio-cam, shareholders can see this unique solution that will be implemented on all future systems.

    3) BioCentric CEO, Brian Goodall, along with his CEO duties will be experimenting with several blow mold tube enhancements early next week in the secondary CAB (Controlled Algae Basin) built at the Santa Ana location. If successful in utilizing this enhanced solution, the cost reduction would be considerable for all BioCentric future systems.

    4) BioCentric Energy has received funding proposal documents from several companies for the provision of future capital funding to elevate BioCentric to a further advanced level of Photobioreactor production. The company has also been in negotiations with several other clients for the delivery of multiple "closed-loop systems" in California and several other states. By the end of this week, the "Management Team" comprising of Brian Goodall, Monique Berry, Frank Rawson and Dennis Fisher will decide which course of action we will implement.

    5) The re-engineering for the mold has just been approved for the "U turns" for the Algae Pro Photobioreactor. In less than a month we will be able to test the new prototypes here in the third, small CAB (Controlled Algae Basin) which is built at the Santa Ana location.

    1) The bio-cam located at the Company's headquarters in Santa Ana, California is back on line and can be accessed through the BioCentric Energy website at www.biocentricenergy.com. The Company is receiving approximately 300-400 unique visits per day to its website from individuals and companies in the food and fuels industries.

    2) The Company's commercial demo PBR system is being sterilized today in preparation of introducing fertilizer (food for the algae) into the system on Friday, May 28th, 2010. Once the fertilizer has stabilized in the PBR system, the algae will be subsequently inoculated. The Company anticipates June 5th, 2010 as the target date to begin growing algae at its Santa Ana headquarters.

    1) The Company has received many requests from shareholders wanting to learn more about the day-to-day operations at BioCentric Energy and the background and industries of its potential clients. In February 2010, Dennis Fisher, BioCentric Energy's Chairman of the Board, met Ms. Venus Brightstar, a Native American Indian of the Ma-Chis (Creek People) tribe, at the NAA West Coast Chapter Workshop in Las Vegas, Nevada.     1) The excavation company hired for BioCentric Energy's first commercial site in Southern California is delivering gravel today and moving more dirt as part of the grading operation that is necessary prior to deploying the PBR system. On site and overseeing today's operation is Chairman of the Board, Dennis Fisher who stated, "The project is progressing as planned and the capital for the first system has been received."

    2) Last Friday, the BioCentric Energy Team put food (nutrients) into its commercial demo system located at the Company's headquarters in Santa Ana, California.
